This attorney will play a pivotal role in supporting in-house legal matters of the organization, with a primary focus on contract review and development.

Position Description

This attorney will play a pivotal role in supporting in-house legal matters of the organization, with a primary focus on contract review and development. Specifically, this attorney will negotiate, review, and draft contracts; provide business-oriented legal advice to various business units; and help administer and enforce internal policies and procedures. The ideal candidate is an organized, detail-oriented, critical thinker who takes initiative and is adept at problem solving. The candidate also must have excellent written and oral communications skills.

This position is a full-time, exempt, remote position, and reports to the Senior Counsel.

Specific Responsibilities:

  • Prepare, draft, review, redline, negotiate and interpret contracts for various business units. Such contracts include, without limitation, customer contracts, vendor and supplier contracts, consulting contracts, partnership arrangements, nondisclosure agreements, and related documents.
  • Provide general legal advice regarding company transactions and other matters to meet the evolving needs of the business across various legal areas.
  • Participate in discussions with customers, vendors, and other external parties to negotiate contractual terms and resolve contract or transaction-related issues.
  • Perform responsibilities utilizing the company’s contract life-cycle management system, including updating/maintaining contract templates and identifying/tracking non-standard contractual terms.
  • Work collaboratively with business stakeholders to understand business needs.
  • Comply with and help administer/enforce the company’s existing processes and procedures, and recommend and implement changes and improvements.
  • Perform activities to support and enforce the organization’s compliance program.
  • Perform special projects, as assigned.

Skills:

  • Analytical/critical thinking regarding contracts and business arrangements and ability to exercise sound judgment.
  • Strong negotiation and problem-solving skills, including an ability to develop creative solutions and compromises.
  • Excellent written and oral communication skills with an ability to communicate effectively at all levels within the company, including senior management, as well as with customers and vendors.
  • Ability to take direction, and work/resolve issues independently with a high degree of flexibility and adaptability.
  • Takes initiative and is proactive.
  • Good interpersonal skills and ability to collaborate with peers.
  • Excellent organizational skills and ability to multi-task, prioritize, and meet deadlines in a high-volume, fast-paced environment.
  • High level of self-motivation and attention to detail.
  • Proficiency in the MS Office Suite (e.g., Word, Excel, Office 365, PowerPoint, and SharePoint).

Experience:

  • 7+ years of contracts/transactional experience in a law firm or in-house role with an established company.
  • Experience negotiating both customer and vendor contracts preferred.
  • Experience at a for-profit company preferred.
  • Knowledge of healthcare a plus.
  • Experience using contract life-cycle management systems a plus.

Education:

  • Juris Doctor from an accredited institution.
  • Current state bar certification.
